TERMS OF USE AND SERVICE AGREEMENT – Mondobase Web Studio

1. ABOUT US
Mondobase Web Studio is a web design and digital services studio registered and operating in the Republic of South Africa. Our physical address is 741 Skukuza Street, Faerie Glen, Pretoria, 0081. You can reach us at hello@mondobase.com or 064 530 4764.
These Terms of Use govern your use of our website at mondobase.com and your engagement with Mondobase Web Studio for any services. By using this website or engaging our services you confirm that you have read, understood, and agree to be bound by these terms.
2. SERVICES
Mondobase Web Studio provides the following services:
The specific scope, deliverables, timeline, and pricing for each project are confirmed in writing via a project proposal before any work begins. No work will commence until the project proposal has been agreed upon and the required deposit has been received.
Any request to add to or change the agreed project scope after work has commenced will be discussed and agreed upon in writing before additional work proceeds. Additional scope may result in additional charges and revised timelines.
3. PAYMENT TERMS
3.1 Project work A non-refundable deposit of 50% of the total agreed project fee is required before any work commences. The remaining 50% is due upon project completion, before the completed website goes live or any final files are delivered to the client.
3.2 Retainer agreements Monthly retainer fees are invoiced at the beginning of each month and are due within 7 days of the invoice date. Retainer services will be paused if payment is not received within 14 days of the invoice date.
3.3 Advertising management For Google Ads and Facebook Ads management, the client is responsible for all advertising spend directly with the relevant platform. Mondobase Web Studio charges a separate management fee for the setup, monitoring, and optimisation of advertising campaigns. Advertising spend and management fees are billed separately.
3.4 Currency and payment methods All fees are quoted and invoiced in South African Rand unless otherwise agreed in writing. International clients may be invoiced in USD. Payment is accepted via electronic funds transfer, PayFast, or PayPal for international clients.
3.5 Late payment If payment is not received by the agreed due date Mondobase Web Studio reserves the right to pause all work until payment is received. Persistent late payment may result in termination of the working relationship.
4. REVISIONS
The number of revision rounds included in a project is specified in the project proposal and agreed before work begins. A revision round is defined as a single consolidated list of changes submitted in one communication. Feedback submitted across multiple messages or calls will be treated as one revision round only if submitted within the same 48 hour period.
Revision requests that fall outside the agreed scope of the original project will be treated as additional scope and quoted accordingly.
5. TIMELINES
Project timelines are outlined in the project proposal and begin from the date the deposit is received and all required content has been provided by the client. Required content includes but is not limited to written copy, photographs, logos, brand assets, and any third party account access required to complete the project.
Mondobase Web Studio will not be held responsible for delays caused by late or incomplete content delivery from the client. If content is not received within 14 days of the deposit being paid the project will be rescheduled to the next available slot.
6. POST LAUNCH SUPPORT
Mondobase Web Studio provides 30 days of post launch support on all completed website projects. Post launch support covers minor corrections and adjustments to the delivered work. It does not cover new features, additional pages, or changes that fall outside the original agreed scope.
After the 30 day support period any additional work will be quoted and billed separately or covered under a retainer agreement if applicable.
7. OWNERSHIP AND INTELLECTUAL PROPERTY
7.1 Client ownership upon full payment Upon receipt of full and final payment the client owns the completed website, all design files, and all associated assets outright. The client is responsible for maintaining their own domain registration and hosting after handover unless a retainer agreement covering these services is in place.
7.2 Ownership prior to full payment All work produced by Mondobase Web Studio remains the intellectual property of Mondobase Web Studio until full payment has been received. Mondobase Web Studio reserves the right to remove or suspend access to any delivered work if full payment is not received.
7.3 Portfolio rights Mondobase Web Studio reserves the right to display completed work in its portfolio, on its website, and on its social media channels unless the client requests otherwise in writing prior to project completion.
7.4 Third party assets The client is responsible for ensuring they have the legal right to use any content, images, logos, or other materials they provide to Mondobase Web Studio for inclusion in their project. Mondobase Web Studio accepts no liability for any intellectual property infringement arising from client-supplied materials.
8. CONFIDENTIALITY
Mondobase Web Studio treats all client business information, project details, and communications as strictly confidential. We will not share your information with any third party without your written consent except where required by law.

10. THIRD PARTY SERVICES
Mondobase Web Studio may recommend or integrate third party services including but not limited to hosting providers, domain registrars, payment gateways, email marketing platforms, and advertising platforms. Mondobase Web Studio is not responsible for the performance, availability, pricing, or terms of any third party service. Any costs associated with third party services are the responsibility of the client unless otherwise agreed in writing.
11. ADVERTISING SERVICES
Where Mondobase Web Studio manages Google Ads or Facebook Ads campaigns on behalf of a client the following applies:
12. NO GUARANTEES ON RESULTS
Mondobase Web Studio does not guarantee specific outcomes from any services provided including but not limited to search engine rankings, website traffic, leads generated, or revenue growth. Digital marketing results are influenced by many factors outside our control including search engine algorithm changes, market conditions, and competitor activity. We commit to delivering quality work honestly and professionally.
13. CANCELLATION
13.1 Cancellation by client If a client cancels a project after work has commenced the deposit is non-refundable. If work has progressed beyond 50% completion the client may be liable for additional costs proportional to the work completed.
13.2 Cancellation of retainer Either party may cancel a monthly retainer agreement with 30 days written notice. The client remains liable for retainer fees during the notice period.
13.3 Cancellation by Mondobase Web Studio Mondobase Web Studio reserves the right to cancel a project or retainer agreement if the client is in breach of these terms, including non-payment, abusive conduct, or provision of illegal content. In such cases any deposit paid may be forfeited.
14. LIMITATION OF LIABILITY
Mondobase Web Studio’s total liability for any claim arising from services provided shall not exceed the total fees paid by the client for the specific project or service in question. Mondobase Web Studio is not liable for any indirect, special, or consequential loss or damage including but not limited to loss of revenue, loss of data, loss of business, or loss of opportunity arising from the use of services provided or from any failure or interruption of those services.
15. DISPUTE RESOLUTION
In the event of a dispute the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved informally within 30 days either party may refer the matter to mediation before pursuing legal action. These terms are governed by the laws of the Republic of South Africa and any unresolved disputes shall be subject to the jurisdiction of the South African courts.
16. CHANGES TO THESE TERMS
Mondobase Web Studio reserves the right to update these Terms of Use at any time. The latest version will always be available at mondobase.com/terms-of-use. Continued use of our services after any changes constitutes acceptance of the updated terms.
